Pilot Terms and Conditions

These Pilot Terms and Conditions (“Terms”) govern your participation in the Consira LLC (“Consira”) pilot program (the “Pilot”), which provides access to certain Consira content, practices, and materials on a limited, evaluation-only basis. By accessing or participating in the Pilot, you acknowledge that you have read, understood, and agree to these Terms. Participation in the Pilot is voluntary, and you remain responsible for your own wellbeing, decisions, and actions.

Confidentiality.

Participant agrees that all non-public information relating to the Pilot, including but not limited to product features, content, materials, data, and communications (“Confidential Information”), shall be kept strictly confidential and shall not be disclosed, shared, copied, or used for any purpose other than participation in the Pilot without Consira’s prior written consent. This obligation survives the conclusion or termination of the Pilot.

Ownership of Feedback and Ideas.

Participant acknowledges and agrees that any suggestions, ideas, feedback, improvements, concepts, or other input provided to Consira in connection with the Pilot (“Feedback”) shall be the sole and exclusive property of Consira. Participant hereby irrevocably assigns to Consira all rights, title, and interest in and to such Feedback without expectation of compensation, and Consira may use, modify, or commercialize the Feedback without restriction.

General Provisions.

These Terms do not create any partnership, employment, or joint venture relationship. The Pilot is provided “as is” without warranties of any kind, and Consira shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Pilot. These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located within Minnesota. Consira may update or terminate the Pilot or these Terms at any time upon notice. Continued participation after changes are posted constitutes acceptance of the updated Terms.
